Terms of Service

These Terms of Service ("Terms") govern access to and use of the Zyvora AI platform and related services (the "Service") provided by Zyvora ("Zyvora," "we," "us"). By registering, subscribing, clicking to accept, or using the Service, you ("Customer," "you") agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that organization.

These Terms form a binding agreement. They are not a substitute for legal advice; consult counsel for your entity and jurisdiction.

1. The Service

Zyvora is a software platform that enables businesses to:

  • Onboarding Consultant (Agent 1): Collect and structure business information (e.g., services, hours, pricing, policies) through guided conversation and store it as a configurable knowledge base for your workspace.
  • Sales Agent (Agent 2): Use that saved business context to respond to customers in automated chat flows — including preview/testing in the dashboard and, when you connect and activate channels, live customer conversations on linked platforms.
  • Channel integrations:Connect messaging and social channels supported by the product (including WhatsApp via Meta's WhatsApp Business Platform / Cloud API when you configure linking and webhooks).
  • Operational features: Such as dashboards, appointments, automations, and (where offered) voice or calling-related tools. Specific features may vary by plan or release.

We may modify, add, or retire features with reasonable notice where practicable. Continued use after changes to these Terms or the Service may constitute acceptance as described in Section 15.

2. Eligibility and accounts

You must be of legal age to form a contract in your jurisdiction. You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for any users or agents you authorize.

3. Meta, WhatsApp, and third-party platforms

Zyvora is not Meta/Facebook/WhatsApp. We provide software that connects toMeta APIs when you enable WhatsApp (or other Meta products) according to our integration design. Your relationship with Meta is governed by Meta's terms, policies, and approvals (including WhatsApp Business Policy, Business Terms, and developer / app review requirements).

You agree that you will:

  • Comply with all applicable Meta and WhatsApp rules, including messaging opt-in, template requirements, commerce and prohibited-content policies, and regional restrictions.
  • Maintain valid permissions and consents from end users where required for messaging, marketing, and data use.
  • Not use the Service to circumvent platform limits, misrepresent message origin, or send unlawful or abusive content.

We may suspend or limit features if required to comply with Meta or other providers' requirements or if we reasonably believe continued use creates legal or security risk. We are not liable for enforcement actions Meta or other platforms take against your accounts or phone numbers.

4. Acceptable use

In addition to Section 3, you agree not to use the Service to:

  • Violate applicable laws or third-party rights (including intellectual property, privacy, and consumer protection).
  • Send spam, deceptive messaging, or content prohibited by connected platforms.
  • Harass, threaten, or discriminate against individuals; distribute malware; or promote illegal goods or services.
  • Reverse engineer, probe, or overload our systems except as permitted by law; or misuse API keys, webhooks, or tokens.
  • Misrepresent AI-generated replies as human where such misrepresentation is unlawful or violates platform disclosure rules.

5. Customer content and license to Zyvora

You retain ownership of content you submit ("Customer Content") — including business information, knowledge-base fields, chat inputs, and files you upload. You grant Zyvora a non-exclusive, worldwide license to host, process, transmit, display, and create derivative outputs (e.g., AI responses) solely to provide and improve the Service and as described in our Privacy Policy — including routing data to AI providers and Meta APIs as needed for features you enable.

You represent that you have all rights and consents necessary to submit Customer Content and to message end customers through connected channels.

6. AI outputs and limitations

Outputs from Agent 1 (onboarding) and Agent 2 (sales) are generated using machine learning. They may be incorrect, incomplete, or inappropriate for a given context. You are responsible for reviewing how automated messages affect your customers and for compliance with applicable laws. The Service is not a substitute for professional legal, medical, financial, or other regulated advice.

7. Fees, trials, and taxes

Paid plans, trials, renewals, and refunds are described in your order flow and our Refund Policy. Fees may be exclusive of taxes unless stated otherwise. Non-payment may result in suspension or termination of access.

8. Privacy

Our collection and use of personal data and business data — including WhatsApp message handling and AI processing — is described in our Privacy Policy (including how Agent 1 and Agent 2 use your data). The Privacy Policy is incorporated by reference.

9. Third-party services

The Service relies on infrastructure providers, AI model APIs, databases, payment processors, and (when you connect them) Meta and other messaging platforms. Those services are subject to their own terms. Zyvora is not liable for third-party outages or policy changes outside our reasonable control.

10. Suspension and termination

We may suspend or terminate access for material breach of these Terms, legal or security risk, non-payment, or as required by law or platform partners. You may stop using the Service at any time. Provisions that by nature should survive (including disclaimers, limitations, indemnities, and dispute resolution) survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zyvora DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zyvora WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. Zyvora's AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO Zyvora FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR, IF NO FEES APPLIED, ONE HUNDRED U.S. DOLLARS (USD $100)).

13. Indemnity

You will defend and indemnify Zyvora against claims arising from Customer Content, your use of the Service in violation of these Terms, your communications with end customers, or your violation of Meta or other third-party platform rules.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory consumer protection laws in your jurisdiction require otherwise. Subject to those exceptions, courts in Delaware shall have exclusive jurisdiction, unless you and we agree otherwise in writing.

15. Changes to these Terms

We may modify these Terms by posting an updated version with a new "Last updated" date. If changes are material, we may provide additional notice. Continued use of the Service after the effective date may constitute acceptance. If you do not agree, you must stop using the Service.
